The original LLC agreement is usually kept in the company's archives in the main office of the company. If you need to present a copy of your LLC agreement in a foreign country for opening a representative office, setting up a branch or for any other business purpose, we will be happy to assist you!
Any officer of the company or a company member has the authority to make a copy of the LLC agreement, and attest that this copy is a true and correct copy of the original LLC agreement of the company.
For legalization we will need a copy of the LLC agreement accompanied by an original notarized affidavit signed by an officer or a member of the company confirming that the attached copy is a true copy of the original document. If for any reason you cannot provide the original notarized affidavit, just email a copy of your LLC agreement to us, it will qualify for a 24-hour apostille service. Please note that the notarization and an apostille will be obtained from Washinton DC. The price for a 24-hour apostille is $175.
Here is a sample affidavit for LLC agreement that an officer of the company can sign, attesting that the attached copy is a true, complete and correct copy of the document. This is just a sample. You or your company's attorney can prepare a different affidavit. This affidavit contains the required notarial statement. This affidavit can be used for copies of other corporate documents, e.g. resolutions, minutes, etc. Please note, however, that this affidavit cannot be used for powers of attorney, authorizations, certificates of incumbency, these documents must be original. This affidavit cannot be used for copies of your certificate of formation / organization, amendments, certificate of dissolution. Notary requirements in the State of New York:
The notarial statement must contain the venue (State of New York, County of....)
The notarial statement must contain acknowledgment or jurat.
The signature of the Notary Public must be original. It must exactly match the sample signature filed with the office of the County Clerk in the county where the notary public is qualified.
The notary's stamp must indicate the notary's name, license number, the name of the county where the notary is qualified, and the expiration date of the notary's license. If the notary does not have an ink stamp, the above information must be printed or typed in black ink.
